Terms of Service

Please read these Terms carefully. Section 13 explains that TradeTide is not financial advice, and Sections 20 and 21 limit our liability.

1. Acceptance and eligibility

These Terms of Service ("Terms") are an agreement between you and TradeTide, operated by Washington Santos ("TradeTide", "we", "us"). By downloading, installing or using the TradeTide app, website or Cloud Sync service (together, the "Service"), you agree to these Terms. If you don't agree, don't use the Service.

You must be at least 18 years old, or the age of majority where you live if that is higher, and able to enter a binding contract.

2. Description of the Service

TradeTide is a trading journal for recording and reviewing your own trades. It is offered in two tiers:

3. License grant and restrictions

Subject to these Terms, we grant you a personal, limited, non-exclusive, non-transferable, revocable license to use the Service for your own non-commercial record-keeping. You may not:

A Pro license can be used on up to 5 devices at a time. We may remove inactive devices or limit use that clearly goes beyond personal use.

4. Accounts and license keys

You can use Cloud Sync with your license key or by signing in with a supported provider. You are responsible for keeping your license key, sign-in accounts and devices secure, and for all activity under them. Tell us promptly at tradetide@mail.grokbot.com if you think your key or account has been compromised.

5. Payments, pricing and taxes

All purchases are processed by Gumroad, which acts as the seller of record and may collect sales tax, VAT or similar taxes. We never see your payment card details. Prices are shown on the Gumroad product page at the time of purchase. We may change prices for future purchases or future renewal periods; for subscriptions, Gumroad will notify you before a price change takes effect. You are responsible for any taxes that apply to you.

6. Subscriptions

Pro Monthly renews automatically every month at the then-current price until you cancel. You can cancel anytime from your Gumroad account or the link in your Gumroad receipt. After you cancel, Pro stays active until the end of the period you already paid for, then your account returns to the Free tier. We don't give partial or prorated refunds for unused parts of a billing period, except as described in Section 8 or where the law requires it.

7. Lifetime license

"Lifetime" means for the lifetime of the TradeTide product, meaning as long as we continue to offer and support TradeTide Pro, not your lifetime. If we ever discontinue TradeTide, we will try to give reasonable notice and keep the app usable with local data and export.

8. Refunds

Refunds are handled through Gumroad under Gumroad's refund policy. In addition, if TradeTide Pro doesn't work on your device as described and we can't fix it, you can request a full refund within 14 days of your purchase by emailing tradetide@mail.grokbot.com. A refund or chargeback ends your Pro access.

9. Free tier

The Free tier is provided at no charge, with a limit of 30 trades per calendar month and without Pro features. We may change the Free tier's features or limits, but we won't delete trades you have already saved locally because of such a change.

10. Cloud Sync availability and backups

Cloud Sync is provided on a reasonable-efforts basis. We don't guarantee any level of uptime, speed or availability, and sync may be interrupted for maintenance, outages or reasons beyond our control. Sync conflicts are resolved by keeping the most recent change. You are responsible for keeping your own backups; use Settings → Export JSON regularly.

11. Your data and content

You own the trades, notes and other content you enter ("Your Data"). You grant us only the limited permission needed to store, transmit and display Your Data to provide the Service (for example, syncing it between your devices). We don't claim ownership of Your Data. How we handle personal information is described in our Privacy Policy.

13. Not financial or investment advice

TradeTide is a record-keeping tool only. Nothing in the Service, including P&L figures, stats, targets, goals, badges or any other content, is financial, investment, trading, legal or tax advice, or a recommendation to buy or sell any security. TradeTide does not connect to your broker, does not place trades and does not verify the accuracy of what you enter. Figures are based only on data you enter and may be incomplete or wrong.

You are solely responsible for your trading decisions and their results, and for your own tax reporting. Use your broker's official statements for tax and record purposes, and consult a qualified professional where appropriate. Trading options and stocks involves substantial risk of loss.

14. Third-party services

The Service relies on third parties, including Gumroad (payments and license verification), Cloudflare (hosting and data storage), and, if you choose to use them, Google and Microsoft (sign-in) and, when available, Apple (sign-in). Your use of those services is subject to their own terms and privacy policies. We aren't responsible for third-party services, and their outages or changes may affect the Service.

15. Updates and changes to features

We may update the app and Service from time to time, including adding, changing or removing features. Some updates may be required to keep using Cloud Sync. We will try not to remove core features from paid tiers without good reason.

16. Beta and "coming soon" features

Features labelled beta, preview or "coming soon" (for example, Sign in with Apple) may be incomplete, may change, may be delayed, or may never be released. They are provided as-is and aren't part of what you pay for until they are released.

17. Intellectual property

The Service, including the app, software, design, logos, the name "TradeTide" and all related content (excluding Your Data), is owned by TradeTide (Washington Santos) and protected by intellectual-property laws. Except for the license in Section 3, no rights are granted to you.

18. Feedback

If you send us ideas, suggestions or feedback, you allow us to use them freely without any obligation to you.

19. Termination

You can stop using the Service at any time and ask us to delete your Cloud Sync data. We may suspend or terminate your access, including deactivating a license key, if you materially breach these Terms (for example, by sharing or reselling keys, abusing the Service or using it unlawfully), or if a purchase is refunded or charged back. On termination, your right to use Pro features ends; you can keep using the app locally on the Free tier where possible, and we may delete your Cloud Sync data after a reasonable period. Sections 11 and 13 and Sections 17 through 27 survive termination.

20. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, OR THAT DATA WILL NOT BE LOST.

21. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRADETIDE AND WASHINGTON SANTOS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, TRADING LOSSES, REVENUE, DATA OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM (OR US$0 IF YOU USED ONLY THE FREE TIER). Some jurisdictions don't allow certain limitations, so some of these may not apply to you.

22. Indemnification

You agree to indemnify and hold harmless TradeTide and Washington Santos from any claims, damages, losses and expenses (including reasonable legal fees) arising from your misuse of the Service, your violation of these Terms, or your violation of any law or third-party right.

23. Governing law and dispute resolution

These Terms are governed by the laws of the State of New York, USA, without regard to its conflict-of-laws rules. Before filing any claim, you agree to first contact us at tradetide@mail.grokbot.com and try to resolve the dispute informally for at least 30 days. If it isn't resolved, either party may bring a claim in the state or federal courts located in New York, and both parties consent to their jurisdiction. Either party may instead bring an individual claim in small-claims court where it qualifies. Nothing here limits any rights you have under mandatory consumer-protection laws where you live.

24. Changes to these Terms

We may update these Terms. If we make material changes, we will update the effective date and, where reasonable, notify you in the app or by email. Continuing to use the Service after changes take effect means you accept the updated Terms.
